ARTICLE I: NAME
This organization shall be known as the Penn Professional Women’s Network.
ARTICLE II: PURPOSE AND AIMS
1. To encourage collegiality and the free interchange of ideas among professional women on the campus.
2. To advocate policies and processes that support the advancement of women.
3. To give recognition to the distinguished accomplishments of women in all fields of endeavor.
4. To provide opportunities, through special invitation, for women students to meet accomplished women on the campus.
ARTICLE III: CRITERIA FOR MEMBERSHIP
1. All regular employees of the University of Pennsylvania.
2. Members who are retired or non-resident but desire to retain their membership.
ARTICLE IV: FISCAL YEAR
The fiscal year shall be from July 1 to June 30.

** Founded in 1948 as the Association of Women Faculty and Administrators (AWFA). The name was changed as part of revisions to the By Laws in May 2004.

ARTICLE V: MEMBERSHIP DUES
Dues shall be set at the discretion of the Board.
ARTICLE VI: OFFICERS
1. Officers
The officers of the Organization shall be President, President-Elect, Past-President , Secretary, Treasurer, Website Coordinator, and Membership Coordinator.

2. Tenure
A President-Elect shall be elected every year, and shall serve 1 year as President-Elect, 1 year as President, and 1 year as Past President. All other officers shall be elected every two years on an alternating basis.

3. Duties of Officers
a. President
The President shall preside at all meetings, sign with the secretary all written contracts of the Organization and perform all duties usually assigned to the office.

b. President-Elect
The President-Elect shall preside in the absence of the president and shall carry out duties as delegated by the president.

c. Past President
The Past-President shall preside in the absence of the president and president-elect and shall carry out duties as delegated by the president.

d. Secretary
The Secretary shall keep all records, notify members of meetings, notify officers of election, and carry out the immediate duties of the treasurer in her or his absence.

e. Treasurer
The Treasurer shall collect all dues and make disbursements as directed by the officers. As finance officer, s/he shall receive payment of bills of all members and deposit all monies in a bank under the name of the Penn Professional Women’s Network, her or his signature being registered as valid.

f. Website Coordinator
The Website Coordinator shall monitor and update regularly the organization website and weblinks.

g. Membership Coordinator
The Membership Coordinator shall monitor and update all mailing lists, and coordinate recruitment and publicity.

ARTICLE VII: BOARD
1. The Board shall consist of the officers of the Organization and eight at-large members.

2. At its discretion, the Board may appoint members to serve ex officio when such appointments may facilitate accomplishment of the Organization’s mission.

3. The members at-large shall serve for two years each, four being elected each year.

4. The Board shall have general supervision of the affairs of the Organization.

5. Meetings of the Board shall be held at any time on the call of the President.

ARTICLE VIII: STANDING COMMITTEES
1. Nominating Committee
The Nominating Committee shall consist of a Chair from the Board, appointed by the President, and two members selected by the Chair. The Chair shall poll membership for nominations. The Committee shall balance representation of faculty and staff with respect to the officers and at-large board members.

2. Awards Committee
The Awards Committee shall consist of a Chair from the Board, appointed by the President, and two members selected by the Chair. The Chair shall poll the University Community for nominations.

ARTICLE IX: MEETINGS
Meetings shall be held no less than two times a year.
ARTICLE X: ELECTION OF OFFICERS AND BOARD MEMBERS
1. The Nominating Committee shall send a request for nominations of officers and members of the board to the full membership by mid-February and set the closing date for nominations.
2. The Nominating Committee shall prepare the slate of nominees which shall be presented to the Board at a Spring meeting. Ballots shall be distributed to full membership following presentation and approval of a slate.
3. If an officer or member of the board is unable to complete a term, the board may, at its discretion, appoint a new member to complete the unexpired term.


ARTICLE XI: PARLIAMENTARY AUTHORITY
The rules contained in Robert's Rules of Order, Revised, shall be the authority on parliamentary procedures in all cases in which they are applicable, and in which they are not inconsistent with this constitution.
ARTICLE XII: AMENDMENTS
These by-laws may be amended at any meeting of the Organization by a two-thirds vote of members present or by a two-thirds vote of members responding when polled. Previous notice shall be given.
